On February 23, the 2023 Export Control Compliance Forum was held in Beijing under the guidance of the Ministry of Commerce of the People's Republic of China. This forum was organized by the China Chamber of Commerce for Import and Export of Machinery and Electronic Products ("CCCME") and co-organized by ZTE. At the forum, Mr. Shen Nan, ZTE's Senior Vice President and Chief Legal Officer, shared ZTE's practices in digitalizing its export control compliance system and enabling effortless, intuitive compliance. Notably, ZTE's booth at the forum venue was visited by many officials, including Mr. Wang Shouwen, China International Trade Representative and Vice Minister of Commerce, and Ms. Lv Weihong, Vice Minister of the General Administration of Customs of China. During their visit, Mr. Xie Xianxin, Deputy Director of ZTE Export Control Compliance Department, introduced ZTE's self-developed Export Compliance Screening System (ECSS). As China's first export compliance screening system with independent intellectual property rights, ECSS was highly recognized by the officials for its role in breaking the monopolies in the industry, protecting national data security, and lowering deployment costs for companies. During the forum, the CCCME announced the establishment of the Export Control Compliance Committee, with ZTE being one of its Committee Chairs. Mr. Liu Jian, ZTE's Senior Vice President, attended the ceremony on behalf of ZTE.

2月23日，"2023年出口管制合规论坛"在北京举办，本次论坛由中国商务部指导，中国机电产品进出口商会主办，中兴通讯股份有限公司协办。在论坛上，中兴通讯股份有限公司高级副总裁、首席法务官申楠，向出席论坛的领导与行业同仁介绍了中兴通讯在出口管制合规体系数字化、构建"低感"、"无感"合规管理体系等方面的实践。在论坛会场外的展台上，中兴通讯出口管制合规部副主任谢贤新向中国商务部国际贸易谈判代表兼副部长王受文、海关总署副署长吕伟红等领导介绍了中兴通讯自主研发的中国首款拥有自主知识产权的出口合规扫描系统ECSS（Export Compliance Screening System）。领导们认真听取了产品汇报，并对ECSS在打破行业垄断、保障国家数据安全以及提供产品低成本实施方案方面所做的努力给予了充分的肯定。论坛期间，中国机电产品进出口商会宣布成立出口管制合规委员会，中兴通讯高级副总裁刘健作为主任委员单位代表出席了成立仪式。

As always, ZTE stays alert to changes in export control laws and regulations, analyzes their impact on business, and takes targeted controls in a timely manner. For example, in January 2023, the United States added Macau to the controls implemented on certain advanced computing and semiconductor manufacturing items destined for the Chinese mainland or Hong Kong. Also, the United States imposed additional sanctions against Russia and Belarus in this March. After learning about these restrictions, ZTE Export Control Compliance Dept. and other related departments rapidly analyzed the possible impacts and conducted business inspections. In this way, we aim to ensure that the company's export control measures always comply with the latest regulatory requirements and thus maintain stable business operations.

在外部规则变动应对方面，中兴通讯持续关注出口管制政策的调整，并及时完成业务影响分析，实施针对性地管控。2023年1月，美国出台政策将针对中国大陆及中国香港的先进计算和半导体制造限制措施同等适用于澳门，3月份又进一步加强和扩大对俄罗斯和白俄罗斯的制裁。在获悉相关限制措施后，中兴通讯出口管制合规部等相关部门快速组织了影响分析和业务排查，确保公司针对特定地域和物项的合规管控措施符合最新的规则要求，维持业务稳健运行。

ZTE is committed to strengthening the exchanges with business partners over compliance. At MWC Barcelona 2023, after introducing our current progress of compliance management to a number of customers, we strongly enhanced customer trust. After the Congress, we had a more extensive conversation with European customers, elaborating on ZTE's compliance program for 2023, digital tools for compliance management, and the policy tracking mechanism. By doing so, we have demonstrated the company's determination and ability to facilitate customer success with compliance, winning customers' recognition and trust.

中兴通讯持续加强与业务合作伙伴的合规交流，在2023年巴塞罗那世界移动通信大会（MWC Barcelona 2023,巴塞展）上，我们与参会的多家客户进行了合规交流，介绍了公司的合规现状，提升了客户信任度。会后又进一步与欧洲客户进行了深入交流，介绍了公司2023年的合规计划、数智化合规管理工具以及政策追踪机制，展示公司应用合规支持客户业务的决心与能力，努力赢得客户的认可与信心。

This year, ZTE continues to enhance cooperation with the SCC team. Specifically, ZTE has been continuously improving the audit cooperation mechanism to facilitate the SCC team's third annual export control compliance audit on the company. Also, we actively arranged for the SCC team to participate in ZTE's activities at MWC Barcelona 2023 and sent out a team of compliance experts to provide on-site support. In this process, we had effective communication with the SCC team and showcased the company's progress in compliance system building, receiving positive comments from the SCC team.

First, ZTE has made new progress in building its compliance management and control system. As for the Global Trade Services (GTS) system, we have added some sanctions lists of more countries, launched the intelligent search function for party screening, optimized query of screening records, and improved the efficiency of restricted party screening and de minimis calculation. With these efforts, the company has successfully improved system control capability and document review efficiency. In addition, we have made steady progress in deploying the self-developed Export Compliance Screening System (ECSS), as ZTE Corporation and its two subsidiaries have started User Acceptance Testing (UAT) of the system. It is expected that ZTE will successfully reach the milestones for the ECSS in the first half of this year, taking the company's compliance digitalization to the next level.

首先，中兴通讯的合规管控系统建设不断取得新进展。GTS（Global Trade Services）系统上线了更多国家的制裁清单，实现了主体扫描智能搜索功能及扫描记录查询的优化，完成了受限制主体扫描及占比计算性能的优化，系统管控能力与单据审核效率进一步提升。自主设计开发的出口合规扫描系统ECSS（Export Compliance Screening System）的部署也在稳步推进，中兴通讯股份侧及两家子公司的ECSS系统实施部署工作已进入UAT测试阶段，预计ECSS系统实施上半年里程碑将顺利达成，中兴通讯合规数字化水平将进一步提升。

Second, ZTE continues to strengthen exchanges with its business partners over compliance, sharing ZTE's current status and experience in compliance building. Throughout this year, I, together with the Overseas Compliance Credibility Enhancement Project Team, are conducting face-to-face exchanges with customers, suppliers, and channel partners in Japan, Hong Kong, the Middle East, and South Africa. During those exchanges, we elaborated on the company's compliance program for 2023, digital tools for compliance management, policy tracking mechanism, and analysis of the impact of regulatory changes. With such effort, we are expected to win the recognition and trust of customers and create a compliant business environment together with customers. Besides, the company actively participated in the professional compliance forum organized by PwC and Hogan Lovells, demonstrating ZTE's achievements in compliance building and capability to build a digital compliance system. By continuously strengthening exchanges with professional consulting agencies, we have promoted the improvement of the company's compliance management and enhanced external parties' trust in the company's compliance building.

Finally, in terms of cooperation with the SCC team, it has been halfway through its third annual audit on ZTE. With the support of the company's management and related employees, the audited entities have withstood pressure and closely worked together to guarantee the smooth implementation of the audit. In 2023, I believe that ZTE will continue to ensure efficient monitorship cooperation enhance the SCC team's trust in the company's compliance system, and thus guarantee the stable development of the company.

In September, ZTE released the 2023-2024 Export Control Compliance Policy and 2023-2024 Export Control Compliance Management Commitment Statement on the company's official website. It is ZTE's policy to strictly comply with all applicable laws and regulations, including those on export control and economic sanctions. Under this policy, we aim to build a best-in-class export compliance program based on best practices in the industry. In the Management Commitment Statement, the company's management team has shown their full support for the export compliance program.

首先，中兴通讯于9月份在公司官网发布了《2023-2024年度中兴通讯出口管制合规政策》和《2023-2024年度中兴通讯关于出口管制合规的管理层承诺声明》。中兴通讯的政策是完全遵守所有可适用的法律法规，包括出口管制和经济制裁法律法规的各项规定，以及基于行业最佳实践，以建设世界一流的出口合规项目为目标。管理层承诺声明体现了中兴通讯管理层对公司出口合规项目建设予以全力支持的承诺。

Moreover, we have kept enhancing the credibility of our compliance program. In this quarter, putting a focus on Asian countries, we visited customers in Uzbekistan, Japan, Bangladesh, Indonesia, the Philippines, Mongolia, Sri Lanka, Vietnam, etc. In a face-to-face way, we shared the company's achievements in compliance system building and cybersecurity in 2023, and exchanged ideas on the dynamic and complex changes in external regulations. The customers fully understood ZTE's progress and achievements in export control compliance, showing higher confidence in us.

In addition, ZTE successfully carried out 2023 annual compliance certification pursuant to the Superseding Settlement Agreement (SSA), with the joint efforts of the company's compliance teams, business units, and external law firms. Regarding the company's compliance with rules, fulfillment of obligations, and compliance system building in this certification period, all compliance teams and business units made full and transparent disclosures, and reasonable inquiries by the signatories of compliance certification were carried out effectively. On this basis, the document for the annual compliance certification was successfully signed and submitted, guaranteeing efficient operations of the compliance mechanism and effective fulfillment of compliance obligations.

On October 17, 2023, the Bureau of Industry and Security (BIS) under the U.S. Department of Commerce updated the export control rules on advanced computing semiconductors. The new rules have imposed severer restrictions with wider impact. After the new rules were released, ZTE immediately conducted interpretation as well as analysis and inspection of possible impacts on the business. Specifically, we have identified and confirmed the purchased parts that may fall within the scope of the new rules, and analyzed and classified the self-developed products that may be affected. Accordingly, the company issued compliance guidelines related to the new rules, specified the applicable export authorizations, and provided solutions for incorporating relevant compliance controls into business IT systems, thereby ensuring efficient, stable, and compliant business operations.

首先，2023年10月17日美国商务部工业与安全局（“BIS”）更新了先进计算与半导体相关规则。相比2022年，今年的规则限制进一步升级、影响也更为广泛。新规则发布后，中兴通讯第一时间开展了规则解读，并组织业务影响分析和排查，包括对可能落入新规限制范围的采购件进行识别与确认、对可能受影响的自研产品的分析和分类等。通过及时发布匹配新规的合规指引，明确出口授权的可适用性，上线合规系统管控方案，在确保法律遵从的同时支撑业务高效平稳运行。

Also, the company continued to strengthen exchanges with partners to enhance our compliance credibility. In Q4 2023, my team and I visited customers in Myanmar, the Philippines, Singapore, Vietnam, Hong Kong SAR, Dubai, Qatar, and Egypt, exchanging ideas and experience in compliance practices. Meanwhile, over 30 partner companies were invited to ZTE, to know about our digital tools for compliance management and discuss the future trend of digital compliance management. Through these activities, we hope to enhance the mutual understanding with our partners and further increased the influence of our compliance brand.

其次，在合规增信方面，公司持续加强与业务合作伙伴的合规交流。本季度首席出口管制合规官（“CECO”）一如继往地走出去与合作伙伴进行专项交流，交流覆盖范围从缅甸、菲律宾、新加坡、越南、中国香港等地客户拓展至迪拜、卡塔尔、埃及的客户。此外我们还邀请30多家企业走进中兴，现场了解中兴通讯合规数字化工具，共同探讨企业合规数字化发展方向。通过这些交流，我们不断增进与合作伙伴的相互了解，进一步提升中兴通讯合规品牌的影响力。

It is also worth sharing that, with ZTE's continuous efforts, breakthroughs in the face-to-face communication with the U.S. government agency have been achieved. In October and November 2023 respectively, I met with BIS officials twice in Washington. During the meetings, we exchanged views on the monitorship as well as the interpretation and application of export control rules. ZTE looks forward to establishing a long-term communication mechanism with BIS to actively share the company's progress in compliance system building.

此外，公司经过不断努力，在与美国官方机构的直接沟通方面取得突破性进展，CECO于2023年10月和11月两次在华盛顿与BIS官员会面，就监管实践、出口管制规则理解与适用等事项交换了意见。中兴通讯期待与BIS建立长效的沟通交流机制，积极展示公司的合规建设进展。

On November 16, 2023, the Export Control Compliance Session of ZTE's 4th Multinational Corporation Trade Compliance Symposium was successfully held in Shenzhen. This session gathered government officials, business professionals, and pioneers in corporate compliance for exploration into such topics as changes in export control rules inside and outside China, digital compliance management, and high-quality compliance system building. The insights of the speakers and heated discussions during the session have brought inspiration to attendees on how to maintain steady operations while making progress under such a volatile environment.

最后，2023年11月16日，中兴通讯第四届跨国企业贸易合规论坛之贸易管制合规分论坛在深圳圆满举办。本次分论坛，中兴通讯邀请到政府主管部门领导、商会大咖以及企业合规先行者，共同围绕国内外政策形势发展、合规数字化、高质量合规建设等话题进行探讨，通过发言嘉宾的专业分享、生动讲解与圆桌论坛上的思维碰撞，引发了与会人员对如何在激变的环境中行稳致远、进而有为的思考。

First, we have been promoting the deployment and implementation of the self-developed Export Compliance Screening System (ECSS). In 2023, the system was successfully interconnected with the main business processes of ZTE Corporation and Kangxun. In the first quarter of this year, the system was applied to more business processes that were under manual control before, covering R&D, engineering service, supply chain, mobile device, HR, and finance and accounting. In addition, the company continued to promote the application of the system in more subsidiaries. With those measures, we improved the efficiency of export controls and effectively controlled compliance risks, further enhancing the digitalization of compliance management.

Currently, with the issuance of China's Measures for the Compliance Management of Central Enterprises and the growing emphasis on compliance system building, more Chinese enterprises have established professional export compliance teams, and shown a strong demand for automated compliance management systems. With comprehensive functions, high adaptability, flexible configuration, and high data security, the ECSS has been drawing interests from partners in a wide range of industries, including auto, communications, semiconductor, manufacturing, household appliance, healthcare, and logistics. Together, we have been exploring opportunities for jointly building an efficient, win-win, and sustainable compliance ecosystem.

Also, the company has been improving the mechanism for working with the Special Compliance Coordinator (SCC), and promoting direct exchanges with BIS and the SCC. We together discussed the mechanism and topics of common concern, to facilitate continuous optimization of follow-up supervision.

First, ZTE continued to strengthen the credibility of our export control compliance program. In the second quarter, we focused our efforts on Asia, visiting customers in Japan and Indonesia for in-depth onsite exchanges. Moreover, we engaged in remote communication with key customers operating globally. In these activities, we highlighted the company's compliance achievements and cybersecurity efforts in 2023, and demonstrated our capabilities to promptly track and analyze complex and evolving external regulations. As a result, the customers gained a thorough understanding of our capabilities and progress in export control compliance, and built up confidence in our future growth.

首先，我们继续积极开展出口管制合规增信活动。本季度，我们将增信活动的重点放在了亚洲，先后拜访了日本、印尼的客户，与客户进行了深入的现场沟通交流，同时也和多家业务覆盖全球的重点客户进行了远程沟通，重点向客户介绍了公司2023年的合规建设成果及在产品安全方面的努力，并向客户展示了我司就复杂多变的外部法规变动进行及时跟踪与研究分析的能力，使客户充分了解了我司在出口管制合规方面的进展与能力，增强了客户信心。

Second, ZTE maintained ongoing interactions with government agencies. In the past quarter, the company presented its recent experiences in export control compliance, especially in the field of product classification, to the Industrial Security and Import and Export Control Bureau of the Ministry of Commerce of China. Also, we participated in the 2024 Update Conference on Export Controls and Policy held by the Bureau of Industry and Security (BIS) of the U.S Department of Commerce, gaining insights into the export control legislation, enforcement, and policy trends of the U.S. over the past year. Through in-depth exchanges with senior BIS officials and representatives from other enterprises, the company demonstrated its compliance expertise, and expanded the channels for direct communication with BIS, gradually increasing the eternal recognition of ZTE's compliance brand image.

Finally, ZTE continued to strengthen cooperation with supervisory authorities and its compliance capabilities. The company has actively participated in compliance audits, which are now progressing smoothly, and optimized the corresponding project-based operating mechanism. Also, the company has continuously enhanced its compliance expertise and actively responded to supervisory authorities' concerns to demonstrate the progress in compliance governance. With all such efforts, we are confident of addressing the changes in external laws and regulations, thus guaranteeing the sustainable development of our business.

In Q3 2024, ZTE continued to enhance the credibility of our export control compliance program, contributing to the company's sound business growth. While maintaining close communication with our Asian customers, we extended our reach into Africa. We visited clients in locations such as Uganda and Ethiopia, engaging in in-depth discussions with them about international export control trends, product safety, network security, and supply chain sustainability. We also had remote communication with key customers whose business spans the globe. Through all those exchanges, our partners learned about ZTE's expertise in interpreting trends and regulations, and we better understood their concerns, thereby strengthening mutual trust and increasing partners' willingness to collaborate with ZTE.

While tracking the changes in export controls and economic sanctions policies, the company noted that the U.S. and its allies were tightening restrictions on China, particularly in the fields of AI chips and semiconductor manufacturing equipment, and expanding restrictions on military-related entities. In response, we kept abreast of those changes, communicated the updates to employees, and conducted business reviews, guaranteeing compliance in all business activities.

在出口管制与经济制裁政策追踪方面，我们注意到美国及其盟友持续在AI芯片、半导体制造设备方面进行对中国进行出口限制，并扩大对军事有关主体的限制，中兴通讯持续跟进外部新闻及有关规则变动信息，完成了规则内容的传递和业务排查，持续保障业务合规开展。

In terms of commercialization of compliance solutions, ZTE gained increasing recognition with its Enterprise Compliance Service System (ECSS), following its successful deployment at Hisense in the first half of this year. In August, the company signed a cooperation agreement with LONGi Green Energy Technology Co., Ltd., a leading solar technology company. ZTE also won bids from top players in their respective fields: ZOOMLION in engineering machinery and CNOOC in oil and petrochemicals. Currently, the ECSS is becoming the preferred solution for data-driven compliance among Chinese companies, facilitating their digital transformation in compliance management.

在合规产品化方面，中兴通讯ECSS系统（企业合规服务系统）继在海信集团的成功商用后，在8月再创佳绩，与光伏行业翘楚隆基绿能签署合作协议，成功中标工程机械领域领军企业中联重科和石油石化领域领军企业中海油。ECSS正逐步成为中国企业合规数据化解决方案的首选，助力更多中国企业实现合规数字化转型。

Also, with the joint efforts of the compliance teams, business units, and external law firms, the company is smoothly advancing the 2024 annual compliance certification under the Superseding Settlement Agreement (SSA). Regarding the company's compliance with rules, obligation fulfillment, and compliance system building in this certification period, all compliance teams and business units have provided full and transparent disclosures, and the signatories of compliance certification are carrying out effective and reasonable inquiries. On this basis, the document for the annual compliance certification will soon be signed and submitted, guaranteeing efficient operations of the compliance mechanism and effective fulfillment of compliance obligations.

Recently, the US government issued a series of new export control rules that further restricted China's semiconductor manufacturing, artificial intelligence, and connected vehicle industries. At the same time, the Regulation of the People's Republic of China on the Export Control of Dual-Use Items has officially come into effect, and the Chinese government's export control measures are gradually increasing.

近期，美国政府发布了一系列新的出口管制规则，对中国的半导体制造及人工智能领域、网联汽车等行业进行了进一步的限制。同时，中国《两用物项出口管制条例》正式施行，中国政府的出口管制举措正在逐步增多。

ZTE has actively responded to these external policy adjustments. Organize internal teams to conduct impact analysis, adjust business control measures, optimize system functions, configure online control solutions, and ensure efficient and effective compliance in complex regulatory environments. At the same time, to ensure the stability of the supply chain, we have also communicated with multiple internationally renowned chip manufacturers regarding these new rules this quarter. We have had in-depth exchanges of opinions on the requirements of the regulations, enhanced mutual understanding, and ensured the stable supply of core upstream products.
